1. Status and Scope of this Agreement
1.1 This Partner Agreement ("Agreement") governs your access to and use of the Platform in the capacity of a Partner. It supplements, and is to be read together with, the Terms and Conditions and the Marketplace Policy.
1.2 By registering a Partner account you accept this Agreement. If you do not accept it, you must not register as a Partner.
1.3 Capitalised terms not defined in this Agreement have the meaning given to them in the Terms and Conditions.
1.4 In the event of conflict between this Agreement and the Terms and Conditions, this Agreement prevails in respect of matters expressly addressed here concerning Partners.
2. Independent Status
2.1 You act at all times as an independent seller, contracting in your own name and on your own account.
2.2 Nothing in this Agreement creates any relationship of employment, agency, partnership, joint venture, franchise, or fiduciary duty between you and Craftolin. You have no authority to bind Craftolin or to hold yourself out as acting for Craftolin.
2.3 You are solely responsible for your own legal, regulatory, and tax compliance, including any registration, return, or payment required under the Central Goods and Services Tax Act, 2017 and the Income-tax Act, 1961, and for any licence or permission required in relation to the Products you supply.
2.4 Craftolin makes no deduction, withholding, or collection of tax in respect of any transaction between you and a Customer, and issues no invoice on your behalf.
3. Registration and Business Profile
3.1 Upon registration a Partner profile is created for you. Use of the Platform is presently free of charge. Clause 12 applies.
3.2 You shall provide and maintain accurate, current, and complete business profile information, which may include your business name, description, business email address, telephone and WhatsApp numbers, business address, links to your Instagram profile, YouTube channel, and website, logo and profile images, delivery coverage settings, and estimated delivery times.
3.3 You control whether your telephone number is displayed to Customers on your public profile, and whether your mobile number is used as your WhatsApp number.
3.4 You must promptly update your profile where any particular ceases to be accurate.
4. Mandatory Public Channel
4.1 It is a condition of publishing Listings on the Platform that you provide and maintain at least one public channel evidencing your work, being either an Instagram profile or a YouTube channel.
4.2 A website may be provided in addition, but a website alone does not satisfy the requirement in clause 4.1.
4.3 The channel you provide must be public, accessible without login, genuinely yours, and current. You must maintain at least one valid Instagram or YouTube link for so long as your account remains active.
4.4 Your channel links are displayed on your public Partner profile in order that Customers may independently review your prior work and satisfy themselves as to your suitability before transacting. This requirement exists because Craftolin does not verify Partners. Clause 5 applies.
4.5 Where you fail to provide or to maintain a valid Instagram or YouTube link, Craftolin may make your Listings unavailable or restrict your account until you comply.
5. No Verification; Moderation Only
5.1 Craftolin does not verify, vet, authenticate, endorse, or guarantee you, your business, your credentials, or your Products, and gives Customers no assurance concerning you.
5.2 Craftolin does not conduct background checks, identity verification, or know-your-customer procedures, and does not collect government-issued identity documents.
5.3 Customers are responsible for evaluating you independently, including by reference to the channels required under clause 4. It is accordingly in your interest to keep those channels accurate, current, and representative of your work.
5.4 Craftolin may nevertheless moderate the Platform for compliance with its policies and with Applicable Law. It may review, hide, mark unavailable, or remove any Listing, and may restrict, suspend, or terminate any Partner account. Any such action is enforcement of the Platform's rules only, and does not constitute verification, endorsement, approval, or any guarantee in respect of any Partner or Listing that remains published.
6. Listings
6.1 You may publish Listings up to the publishing allowance displayed for your account within the Platform. Clause 12 and the Subscription Terms apply.
6.2 You are solely responsible for the accuracy, completeness, and legality of each Listing, including its name, description, price, category, subcategory, hashtags, item keywords, images, availability, customisation options, delivery estimates, and any indication that cash on delivery, negotiation, same-day delivery, or multiple colours are available.
6.3 You represent and warrant that:
(a) you own, or are validly licensed to use, all images, text, and other content comprised in each Listing;
(b) each Product may lawfully be offered, supplied, and delivered by you in India;
(c) each Listing accurately describes the Product, and no image depicts a Product materially different from that which will be supplied; and
(d) no Listing infringes any patent, trademark, copyright, design, trade secret, or other right of any person, or breaches the Community Guidelines or Applicable Law.
6.4 You must not publish a Listing for any Product that is counterfeit, stolen, unsafe, recalled, or prohibited or restricted under Applicable Law.
6.5 Where a Listing has attracted an Order or a review, its core identity, comprising its name and category, is locked and may no longer be edited. This preserves the integrity of transaction and review records.
7. Images and Uploads
7.1 Product and profile images are uploaded from your device directly to Craftolin's storage provider by means of time-limited presigned links. Image content does not pass through Craftolin's application servers.
7.2 You grant Craftolin the licence described in clause 12.3 of the Terms and Conditions in respect of such images. See also the Intellectual Property Policy.
8. Requirements and Orders
8.1 Receipt of a Requirement. You receive Requirements submitted by Customers in respect of your Listings. Each Requirement includes the Customer's name and mobile telephone number, which the Customer is required to supply so that you may contact them concerning the Requirement.
8.2 Response window. You must respond to a Requirement within twenty-four hours of its submission. A Requirement to which you do not respond within that period is automatically rejected by the Platform and recorded as rejected by the system. Timely response is reflected in your response statistics.
8.3 Agreement Code. Where you and the Customer have agreed commercial terms between yourselves, you may generate a four-digit Agreement Code within the Platform. The Customer views that code and communicates it to you, and you enter it to record that agreement has been reached. The Agreement Code is generated and verified entirely within the Platform, is not transmitted by SMS, and does not constitute verification of the identity of any person.
8.4 Delivery Details. Following verification of the Agreement Code, the Customer supplies their delivery address line, landmark where applicable, contact telephone number, and optionally a contact email address. The address line and telephone number are mandatory and an Order cannot be created until they are supplied. These particulars are disclosed to you for the purpose of effecting delivery.
8.5 Acceptance and Order. Upon your acceptance of a Requirement in respect of which the Agreement Code has been verified and Delivery Details supplied, an Order is created. Upon creation of the Order, and simultaneously with the disclosure of the Customer's Delivery Details to you, your full contact particulars are disclosed to the Customer. Those particulars comprise your business name, contact person, telephone number, WhatsApp number, email address, business address, and your public Instagram, YouTube, and website channels. You must thereafter maintain the Order status accurately through the stages Accepted, In Progress, Out for Delivery, and Completed.
8.6 No in-Platform cancellation. Once an Order has been created it cannot be cancelled through the Platform. Any variation or cancellation must be agreed directly with the Customer.
9. Use and Protection of Customer Personal Data
9.1 You may use a Customer's name, mobile telephone number, and Delivery Details solely for the purpose of discussing, fulfilling, and delivering the Requirement or Order to which they relate.
9.2 You must not, in respect of any Customer personal data obtained through the Platform:
(a) use it for marketing, promotion, solicitation, or any bulk or unsolicited communication;
(b) sell, licence, transfer, publish, or otherwise disclose it to any third party, save to a courier or delivery agent strictly to the extent necessary to effect delivery of the Order concerned;
(c) add it to any mailing list, customer database, or contact directory maintained for any purpose beyond fulfilment of the Order concerned;
(d) retain it for longer than is necessary for fulfilment of the Order and for compliance with your own legal or tax obligations; or
(e) use it to contact the Customer in relation to any matter other than that Requirement or Order.
9.3 You must implement reasonable security measures to protect Customer personal data in your possession, and must promptly notify Craftolin at support@craftolin.com of any loss, unauthorised access to, or unauthorised disclosure of such data.
9.4 Breach of this clause 9 is a material breach of this Agreement and may result in immediate suspension or termination under clause 14, and in referral to the appropriate authority.
10. Payment
10.1 You collect payment directly from the Customer, outside the Platform, by such method as you and the Customer agree, including cash on delivery, advance payment in whole or in part, or payment on delivery.
10.2 Craftolin does not process, collect, hold, escrow, remit, or otherwise handle any payment, and is under no obligation or ability to collect any sum due to you, to recover any unpaid amount, or to guarantee payment.
10.3 You may record the payment mode and amounts within the Platform for your own record-keeping. Such entries are yours; they do not evidence receipt of funds by Craftolin.
10.4 You are responsible for determining lawful prices, for charging and remitting any applicable tax, and for issuing any invoice or receipt required under Applicable Law.
10.5 You are responsible for effecting any refund, replacement, or other remedy that you agree with a Customer or that is required under Applicable Law. See the Refund Policy.
10.6 Where you disclose a payment identifier to a Customer, you must not subsequently request payment to a different identifier without informing the Customer of the reason. Clause 8.6 of the Terms and Conditions applies.
11. Delivery
11.1 You are solely responsible for making, packing, dispatching, and delivering each Order within the timelines you have committed to, and for the condition and conformity of the Product upon delivery.
11.2 You must declare your delivery coverage accurately and must not accept a Requirement that you are unable to fulfil within your stated coverage and timelines. See the Delivery Policy.
12. Fees and Subscriptions
12.1 The Platform is presently free of charge for Partners. No subscription plan is offered for sale, no in-application or application-store billing operates, and no payment particulars are collected from Partners.
12.2 Craftolin charges no commission, levy, or transaction fee on any transaction between you and a Customer.
12.3 Your account is subject to a publishing allowance displayed within the Platform.
12.4 Craftolin may introduce paid plans in the future. Where it does so, the prices, inclusions, limits, billing period, renewal terms, and cancellation terms will be published in advance and existing Partners will be given reasonable notice before any charge becomes payable. 13. Reviews and Conduct
13.1 Customers may review and rate you, and you may review and rate Customers, on a scale of one to five with optional accompanying text.
13.2 You must not solicit, incentivise, purchase, fabricate, or manipulate any review, nor use a review to retaliate against a Customer, nor threaten a Customer with an adverse review in order to obtain any advantage.
13.3 You must deal honestly and courteously with Customers, comply with the Community Guidelines, and comply with Applicable Law.
14. Suspension and Termination
14.1 Craftolin may restrict, suspend, or terminate your Partner account, and may remove or make unavailable your Listings, where it reasonably considers that you have breached this Agreement, the Terms and Conditions, any incorporated policy, or Applicable Law, or where such action is necessary to protect Customers, other Users, or Craftolin, or is required by a competent authority.
14.2 Where circumstances permit, Craftolin will notify you of such action and of the grounds for it, and will afford you an opportunity to respond.
14.3 Where your account is restricted or suspended in connection with a report of fraud, unlawful conduct, or a dispute, Craftolin may preserve your account and its associated records, including your Listings and images, for the purposes of investigation, cooperation with law enforcement authorities, and compliance with Applicable Law, and may decline a request for deletion of your account until the matter is resolved.
14.4 You may cease using the Platform at any time and may request deletion of your account in accordance with the Account Deletion Policy, subject to clause 14.3.
14.5 Termination or suspension does not relieve you of any obligation owed to a Customer in respect of an Order outstanding at the date of termination or suspension, nor of any liability accrued before that date.
15. Liability and Indemnity
15.1 Craftolin is an intermediary and is not liable for your sales, your Products, your deliveries, your payments, your tax affairs, or any dispute between you and a Customer. The Disclaimer and Limitation of Liability applies in full.
15.2 You shall indemnify, defend, and hold harmless Craftolin and its personnel against all claims, demands, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with your Products, your Listings, your User Content, your conduct, your dealings with any Customer, your use or disclosure of Customer personal data, or your breach of this Agreement or Applicable Law, to the extent permitted by Applicable Law.
16. Amendment
16.1 Craftolin may amend this Agreement from time to time. The revised Agreement takes effect upon publication, save that where an amendment is material Craftolin will give reasonable advance notice by in-application notification, email, or other reasonable means. Your continued use of the Platform after the revised Agreement takes effect constitutes acceptance of it.
17. General
17.1 Clauses 26 to 29 of the Terms and Conditions, concerning assignment and change of operator, notices, force majeure, relationship of the parties, severability, waiver, entire agreement, third-party rights, survival, and language, apply to this Agreement as if set out here.
17.2 Clauses 2, 5, 9, 10.4, 10.5, 14.3, 14.5, 15, and 17 survive termination of this Agreement.
18. Governing Law and Jurisdiction
18.1 This Agreement is governed by the laws of the Republic of India.
18.2 Before commencing any proceeding you shall first raise the matter with the Grievance Officer in accordance with clause 23 of the Terms and Conditions.
18.3 The courts at Hyderabad, Telangana, India shall have exclusive jurisdiction in respect of any dispute arising out of or in connection with this Agreement.
